Summary
Toyota’s passing-off claim concerning Prius failed because it did not establish sufficient goodwill in India before the defendants adopted the mark in April2001. The Court applied territoriality despite Toyota’s earlier international reputation. It nevertheless rejected the proposition that actual confusion must invariably be proved at final adjudication.
Issues
- Whether international prior use and reputation established the Indian goodwill needed for passing off.
- Whether actual confusion was indispensable at final adjudication and what significance attached to delay.
Held
- Passing off requires goodwill, misrepresentation and damage. Registration does not defeat a valid prior user’s passing-off action, which can lie against a registered proprietor. (¶ 21–22)
- Territoriality governs: earlier foreign reputation alone does not establish enforceable goodwill in India. Courts must examine whether reputation and goodwill have spilled into the relevant jurisdiction; presence through a mark may take subtler forms than an actual local establishment or direct market. (¶¶ 23–30, 32)
- Once local goodwill is established, actual confusion is not an invariable requirement. Likelihood of confusion may be demonstrated through the marks, marketing and surrounding circumstances, with the claim assessed on a preponderance of probabilities. The contrary final-adjudication rule would impose an unjustified evidential burden. (¶ 31)
- Toyota’s internet materials, magazine publicity and isolated1997 newspaper reports did not safely establish sufficient Indian goodwill before April2001, given limited internet exposure and its witnesses’ evidence. Even knowledge within the relevant consumer segment was inadequately shown. (¶ 32)
- Failure to establish local goodwill was decisive irrespective of disagreement over the defendants’ explanation for choosing Prius. Toyota’s unexplained delay could not prejudice defendants who continued using their registered mark during that silence. The dispute before the Court concerned Prius; the conditional injunction governing other Toyota marks had been accepted. (¶¶ 11, 33–34)
Result
Appeals dismissed; Appellate Bench orders denying the Prius passing-off injunction and rejecting the plaintiff’s damages appeal affirmed.
